IMPORTANT - YOU WILL NEED TO SETTLE DISAGREEMENTS WITH SNAPPAIR INDIVIDUALLY THROUGH FINAL AND BINDING ARBITRATION, SO PLEASE CAREFULLY READ THE ARBITRATION AGREEMENT AND CLASS ACTION WAIVER OUTLINED IN SECTION 9 BELOW. BY SIGNING THIS AGREEMENT, YOU FORMALLY ACKNOWLEDGE THAT YOU HAVE READ AND COMPREHEND ALL OF ITS TERMS AND THAT YOU HAVE GIVEN CAREFUL THOUGHT TO THE IMPLICATIONS OF THIS SIGNIFICANT CHOICE.
Snappair.com, LLC ("Snappair," "we," or "us") and you have a legal agreement known as the Terms of Service Agreement ("Agreement" or "Terms"). You confirm that you have read, comprehended, and agree to be bound by these Terms by using the Snappair website, which is currently located at snappair.com (the "Site"), any apps or other services that Snappair offers or operates (collectively, the "Services"), or by checking a box or clicking a button that indicates your acceptance of these Terms. Do not use or access any of the services if you disagree with these terms.
You agree to abide by Snappair's Community Guidelines ("Community Guidelines") as well as any other rules, policies, or guidelines that are posted on the Services or that are otherwise made available to you (collectively, the "Rules"). This reference incorporates all such rules, policies, and guidelines into these Terms.
Individuals under the age of eighteen are not permitted to use or access the services. YOU CERTIFY AND REPRESENT THAT YOU ARE AT LEAST 18 YEARS OLD BY ACCESSING OR USING THE SERVICES.
Additionally, those who have previously been blocked or otherwise prohibited from accessing or using the services are not permitted to use them, nor will they be permitted to do so.
You are given a limited, non-exclusive, non-sublicensable, revocable, and non-transferable license to access and use the Services for your personal, non-commercial use only, provided that you abide by these Terms and all other applicable Rules, including but not limited to the Community Guidelines. Except for licenses and rights specifically granted in these Terms, you are not granted any licenses or rights under any intellectual property rights owned or controlled by Snappair or its licensors, either explicitly or implicitly. This license may be terminated by Snappair in accordance with Section 10 below.
Any laws, rules, and regulations that may be relevant to your use of the Services are entirely your responsibility to abide by. You pledge to abide by these Terms and the Community Guidelines and to refrain from helping or permitting others to:
Users, whether third-party beneficiaries or not, will not be able to enforce any rights created by the aforementioned restrictions, the Community Guidelines, the Rules, or anything else in the Terms. Snappair may enforce any of the aforementioned, but it is not required to do so.
The communication channels offered by the services are intended to facilitate user-to-user conversation. Even if you use "Matching Filters," Snappair has no control over the people you communicate with. While it is not required, Snappair may choose to keep an eye on these channels of communication in order to provide the services. Additionally, Snappair retains the right, at its sole discretion, to suspend, ban, or terminate your usage of the Services at any time and for any reason. You understand and agree that Snappair does not generate, endorse, or manage any user content, including but not limited to text, video, or audio chats. Snappair will never be held responsible for any user-generated content or conduct on the Services. Both the content and activities of other users of the Services and the information or content you choose to disclose within or through the Services are not Snappair's responsibility. Copying any information or messages you choose to send to or through the Services is not Snappair's responsibility.
Your interactions with other Service users and other parties that you contact through the Services are entirely your responsibility. Snappair hereby disclaims all duty to you or any other party over your use of the Services, to the greatest extent allowed by applicable law. As an end user, you understand and agree that Snappair has no unique relationship with you and, as such, has no obligation to protect you from the actions of other users or third parties.
Commercially accessible parental control features (such computer hardware, software, or filtering services) can help you restrict the access of minors to content that might be dangerous or improper for them. Information regarding these parental control protections can be found on several websites, such as https://www.connectsafely.org/controls/.
The services might be fully or partially protected by trademark, copyright, and/or other laws in the US and other nations. You understand and accept that Snappair, its licensors, and/or authorized third parties are the exclusive owners of the Services and all related intellectual property rights. Any copyright, trademark, service mark, or other property rights notices included in or associated with the Services may not be removed, changed, or obscured by you. In the United States and overseas, Snappair's trademarks, service marks, logos, trade names, trade dress, and any other source identifiers used on or in connection with the Services (collectively, the "Marks") are all registered trademarks or trademarks of Snappair. Any third-party proprietary designations, including trade names, logos, service marks, and trademarks, that are used on or in conjunction with the Services are only for identification reasons and may belong to their respective owners. Any use of a third-party trademark is not meant to suggest any connection between Snappair and the trademark owner; rather, it is meant to identify the trademark owner and its products and services.
You understand and accept that there may be inherent hazards associated with using the Services, including your interactions with other users. By using the Services, you voluntarily accept these risks. You accept complete responsibility for your use of the Services, including your interactions with other users, to the degree that relevant law permits.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU VOLUNTARILY, KNOWINGLY, AND FREELY ASSUME ALL KNOWN AND UNKNOWN RISKS ASSOCIATED WITH USING OR ACCESSING THE SERVICES, EVEN IF THOSE RISKS RESULT FROM SNAPPAIR'S CARELESSNESS OR NEGLIGENCE, THIRD PARTIES, SUCH AS OTHER SERVICE USERS, OR SERVICE DEFECTS.
SNAPPAIR PROVIDES THE SERVICES "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," WITHOUT ANY KIND OF WARRANTY, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. SNAPPAIR, ITS AFFILIATES, AND LICENSORS DISCLAIM ALL WARRANTIES AND CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE, IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE (EVEN IF SNAPPAIR IS ADVISED OF SAID PURPOSE), AND IMPLIED WARRANTIES ARISING FROM A PARTICULAR COURSE OF DEALING OR USAGE OF TRADE.
YOU UNDERSTAND AND AGREE THAT YOU REMAIN FULLY RESPONSIBLE FOR ALL RISKS RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, TO THE FULLEST EXTENT ALLOWED BY LAW. SNAPPAIR AND ANY OTHER PARTIES INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES ARE NOT RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES.
IN NO CASE WILL SNAPPAIR'S TOTAL LIABILITY RESULTING FROM THESE TERMS, YOUR USE OF THE SERVICES, OR YOUR INCAPACITY TO USE THEM (INCLUDING BUT NOT LIMITED TO YOUR INTERACTIONS WITH OTHER SERVICE USERS) SURPASS ONE HUNDRED DOLLARS (U.S. $100.00).
To the fullest extent allowed by law, you agree to release, defend (at Snappair's discretion), indemnify, and hold harmless Snappair, its affiliates, subsidiaries, and their officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses—including reasonable attorney and accounting fees—arising from or related to: (i) your actual or alleged violation of these Terms or any other Snappair policies (such as Guidelines or Rules), (ii) your use of the Services in a manner not authorized by these Terms, Guidelines, or Rules, (iii) your interactions with other users, including any resulting injuries, losses, or damages (whether direct, incidental, consequential, or otherwise), (iv) any content or materials you submit through the Services, or (v) your actual or alleged violation of any laws, regulations, or third-party rights (collectively, "Claims").
Please read the following Section 9 carefully, as they affect your rights.
YOU AND SNAPPAIR MUTUALLY AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING IN ANY WAY TO THESE TERMS, OR TO THEIR APPLICABILITY, BREACH, TERMINATION, VALIDITY, ENFORCEMENT, OR INTERPRETATION, OR TO THE USE OF THE SERVICES, WILL BE SETTLED BY BINDING INDIVIDUAL ARBITRATION (THE "ARBITRATION AGREEMENT"), REGARDLESS OF WHETHER IT IS BASED ON A CONTRACT, STATUTE, REGULATION, ORDINANCE, TORT (INCLUDING, BUT NOT LIMITED TO, FRAUD, MISREPRESENTATION, FRAUDULENT INDUCEMENT, OR NEGLIGENCE), OR ANY OTHER LEGAL OR EQUITABLE THEORY.
TO THE GREATEST EXTENT PERMITTED BY LAW, YOU AND SNAPPAIR ACKNOWLEDGE AND AGREE THAT WE ARE EACH GIVING UP THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY ALLEGED CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING PERTAINING TO ANY DISPUTES.
As long as you use the Services in compliance with these Terms and any other applicable Rules, this Agreement will continue to be fully enforceable. If Snappair suspects that you have violated this Agreement or the Community Guidelines—including but not limited to using the Services for non-personal use, participating in prohibited activities, or breaking any of your representations and warranties—we reserve the right to terminate this Agreement at any time and without prior notice.
Regardless of conflict-of-law restrictions, these Terms shall be read in conformity with the laws of the State of Oklahoma and the United States of America. Unless we both agree to a different location, judicial procedures (except from small claims proceedings) that are not covered by the Arbitration Agreement in Section 9 must be brought in the state or federal courts in Oklahoma City, Oklahoma.
This Agreement replaces any previous oral or written understandings or agreements between Snappair and you regarding the access to and use of the Services, and it is the only agreement between Snappair and you pertaining to the subject matter hereof, unless it is supplemented by additional terms and conditions, policies, guidelines, or standards as provided herein.
